Section <bold>38-9-102</bold> is amended to read:</secline><catline lineno="24"><bold>38-9-102<parens/>. Definitions.</bold></catline><sectionText lineno="25"><tab/>As used in this chapter:</sectionText><subsection ssid="1-null-1" dnum="1-o" numlevel="1" lineno="26" slineno="1-4" level="1"><display>(1)</display>"Affected person" means:<subsection ssid="1-null-2" dnum="a-o" numlevel="1" lineno="27" slineno="1-5" level="2"><display>(a)</display>a person who is a record interest holder of the real property that is the subject of a <ln numlevel="1" lineno="28" slineno="1-6"/>recorded nonconsensual common law document; or</subsection><subsection ssid="1-null-3" dnum="b-o" numlevel="1" lineno="29" slineno="1-7" level="2"><display>(b)</display>the person against whom a recorded nonconsensual common law document purports <ln numlevel="1" lineno="30" slineno="1-8"/>to reflect or establish a claim or obligation.</subsection></subsection><subsection ssid="1-null-4" dnum="2-o" numlevel="1" lineno="31" slineno="1-9" level="1"><display>(2)</display>"Document sponsor" means a person who, personally or through a designee, signs or <ln numlevel="1" lineno="32" slineno="1-10"/>submits for recording a document that is, or is alleged to be, a nonconsensual common <ln numlevel="1" lineno="33" slineno="1-11"/>law document.</subsection><subsection ssid="1-null-5" dnum="3-o" numlevel="1" lineno="34" slineno="1-12" level="1"><display>(3)</display>"Interest holder" means a person who holds or possesses a present, lawful property <ln numlevel="1" lineno="35" slineno="1-13"/>interest in <amendoutstart style="2"/><amend anum="0" ea="erase" pairid="49" groupid="44" style="2" owner="jchristopherson" level="1" deltag="both">certain </amend><amendoutend style="2"/>real property, including an owner, <amend anum="0" ea="amend" pairid="77" groupid="72" style="1" owner="jchristopherson" level="1" amendtag="both">a </amend>title holder, <amend anum="0" ea="amend" pairid="78" groupid="73" style="1" owner="jchristopherson" level="1" amendtag="both">a </amend>mortgagee,<amend anum="0" ea="amend" pairid="79" groupid="74" style="1" owner="jchristopherson" level="1" amendtag="both"> a</amend> <ln numlevel="1" lineno="36" slineno="1-14"/>trustee, or <amend anum="0" ea="amend" pairid="80" groupid="75" style="1" owner="jchristopherson" level="1" amendtag="both">a </amend>beneficial owner.</subsection><subsection ssid="1-null-6" dnum="4-o" numlevel="1" lineno="37" slineno="1-15" level="1"><display>(4)</display>"Lien claimant" means a person claiming an interest in real property who offers a <ln numlevel="1" lineno="38" slineno="1-16"/>document for recording or filing with <amendoutstart style="2"/><amend anum="0" ea="erase" pairid="52" groupid="47" style="2" owner="jchristopherson" level="1" deltag="both">any</amend><amendoutend style="2"/><amend anum="0" ea="amend" pairid="42" groupid="37" style="1" owner="jchristopherson" level="1" amendtag="both" space="true">a</amend> county recorder in the state asserting a lien, <ln numlevel="1" lineno="39" slineno="1-17"/>or notice of interest, or other claim of interest in <amendoutstart style="2"/><amend anum="0" ea="erase" pairid="54" groupid="49" style="2" owner="jchristopherson" level="1" deltag="both">certain </amend><amendoutend style="2"/>real property.</subsection><subsection ssid="1-null-7" dnum="5-o" numlevel="1" lineno="40" slineno="1-18" level="1"><display>(5)</display>"Nonconsensual common law document" means a document that is submitted to a <ln numlevel="1" lineno="41" slineno="1-19"/>county recorder's office for recording against public official property that:<subsection ssid="1-null-8" dnum="a-o" numlevel="1" lineno="42" slineno="1-20" level="2"><display>(a)</display>purports to create a lien or encumbrance on or a notice of interest in the real property;</subsection><subsection ssid="1-null-9" dnum="b-o" numlevel="1" lineno="43" slineno="1-21" level="2"><display>(b)</display>at the time the document is recorded, is not:<subsection ssid="1-null-10" dnum="i-o" numlevel="1" lineno="44" slineno="1-22" level="3"><display>(i)</display>expressly authorized by this chapter or a state or federal statute;</subsection><subsection ssid="1-null-11" dnum="ii-o" numlevel="1" lineno="45" slineno="1-23" level="3"><display>(ii)</display>authorized by or contained in an order or judgment of a court <amendoutstart style="2"/><amend anum="0" ea="erase" pairid="58" groupid="53" style="2" owner="jchristopherson" level="1" deltag="both">of competent</amend><amendoutend style="2"/><amend anum="0" ea="amend" pairid="43" groupid="38" style="1" owner="jchristopherson" level="1" amendtag="both" space="true">with</amend> <ln numlevel="1" lineno="46" slineno="1-24"/>jurisdiction; or</subsection><subsection ssid="1-null-12" dnum="iii-o" numlevel="1" lineno="47" slineno="1-25" level="3"><display>(iii)</display>signed by or expressly authorized by a document signed by the owner of the real <ln numlevel="1" lineno="48" slineno="1-26"/>property; and</subsection></subsection><subsection ssid="1-null-13" dnum="c-o" numlevel="1" lineno="49" slineno="1-27" level="2"><display>(c)</display>is submitted in relation to the public official's status or capacity as a public official.</subsection></subsection><subsection ssid="1-null-14" dnum="6-o" numlevel="1" lineno="50" slineno="1-28" level="1"><display>(6)</display>"Owner" means a person who has a vested ownership interest in real property.</subsection><subsection ssid="1-null-15" dnum="7-o" numlevel="1" lineno="51" slineno="1-29" level="1"><display>(7)</display>"Political subdivision" means a county, city, town, school district, special improvement <ln numlevel="1" lineno="52" slineno="1-30"/>or taxing district, special district, special service district, or other governmental <ln numlevel="1" lineno="53" slineno="1-31"/>subdivision or public corporation.</subsection><subsection ssid="1-null-16" dnum="8-o" numlevel="1" lineno="54" slineno="1-32" level="1"><display>(8)</display>"Public official" means:<subsection ssid="1-null-17" dnum="a-o" numlevel="1" lineno="55" slineno="1-33" level="2"><display>(a)</display>a current or former:<subsection ssid="1-null-18" dnum="i-o" numlevel="1" lineno="56" slineno="1-34" level="3"><display>(i)</display>member of the Legislature;</subsection><subsection ssid="1-null-19" dnum="ii-o" numlevel="1" lineno="57" slineno="1-35" level="3"><display>(ii)</display>member of Congress;</subsection><subsection ssid="1-null-20" dnum="iii-o" numlevel="1" lineno="58" slineno="1-36" level="3"><display>(iii)</display>judge;</subsection><subsection ssid="1-null-21" dnum="iv-o" numlevel="1" lineno="59" slineno="1-37" level="3"><display>(iv)</display>member of law enforcement;</subsection><subsection ssid="1-null-22" dnum="v-o" numlevel="1" lineno="60" slineno="1-38" level="3"><display>(v)</display>corrections officer;</subsection><subsection ssid="1-null-23" dnum="vi-o" numlevel="1" lineno="61" slineno="1-39" level="3"><display>(vi)</display>active member of the Utah State Bar; or</subsection><subsection ssid="1-null-24" dnum="vii-o" numlevel="1" lineno="62" slineno="1-40" level="3"><display>(vii)</display>member of the Board of Pardons and Parole;</subsection></subsection><subsection ssid="1-null-25" dnum="b-o" numlevel="1" lineno="63" slineno="1-41" level="2"><display>(b)</display>an individual currently or previously appointed or elected to an elected position in:<subsection ssid="1-null-26" dnum="i-o" numlevel="1" lineno="64" slineno="1-42" level="3"><display>(i)</display>the executive branch of state or federal government; or</subsection><subsection ssid="1-null-27" dnum="ii-o" numlevel="1" lineno="65" slineno="1-43" level="3"><display>(ii)</display>a political subdivision;</subsection></subsection><subsection ssid="1-null-28" dnum="c-o" numlevel="1" lineno="66" slineno="1-44" level="2"><display>(c)</display>an individual currently or previously appointed to or employed in a position in a <ln numlevel="1" lineno="67" slineno="1-45"/>political subdivision, or state or federal government that:<subsection ssid="1-null-29" dnum="i-o" numlevel="1" lineno="68" slineno="1-46" level="3"><display>(i)</display>is a policymaking position; or</subsection><subsection ssid="1-null-30" dnum="ii-o" numlevel="1" lineno="69" slineno="1-47" level="3"><display>(ii)</display>involves:<subsection ssid="1-null-31" dnum="A-o" numlevel="1" lineno="70" slineno="1-48" level="4"><display>(A)</display>purchasing or contracting decisions;</subsection><subsection ssid="1-null-32" dnum="B-o" numlevel="1" lineno="71" slineno="1-49" level="4"><display>(B)</display>drafting legislation or making rules;</subsection><subsection ssid="1-null-33" dnum="C-o" numlevel="1" lineno="72" slineno="1-50" level="4"><display>(C)</display>determining rates or fees; or</subsection><subsection ssid="1-null-34" dnum="D-o" numlevel="1" lineno="73" slineno="1-51" level="4"><display>(D)</display>making adjudicative decisions; or</subsection></subsection></subsection><subsection ssid="1-null-35" dnum="d-o" numlevel="1" lineno="74" slineno="1-52" level="2"><display>(d)</display>an immediate family member of a person described in Subsections <xref depth="4" refnumber="38-9-102(8)(a)">(8)(a)</xref> through <xref depth="4" refnumber="38-9-102(c)">(c)</xref>.</subsection></subsection><subsection ssid="1-null-36" dnum="9-o" numlevel="1" lineno="75" slineno="1-53" level="1"><display>(9)</display>"Public official property" means real property that has at least one record interest holder <ln numlevel="1" lineno="76" slineno="1-54"/>who is a public official.</subsection><subsection ssid="1-null-37" dnum="10-o" numlevel="1" lineno="77" slineno="1-55" level="1" space="false"><display>(10)</display><subsection ssid="1-null-38" dnum="a-o" level="2" placement="sameline"><display>(a)</display>"Record interest holder" means a person who holds or possesses a present, lawful <ln numlevel="1" lineno="78" slineno="1-56"/>property interest in real property, including an owner, titleholder, mortgagee, trustee, <ln numlevel="1" lineno="79" slineno="1-57"/>or beneficial owner, and whose name and interest in that real property appears in the <ln numlevel="1" lineno="80" slineno="1-58"/>county recorder's records for the county in which the property is located.</subsection><subsection ssid="1-null-39" dnum="b-o" numlevel="1" lineno="81" slineno="1-59" level="2"><display>(b)</display>"Record interest holder" includes <amendoutstart style="2"/><amend anum="0" ea="erase" pairid="59" groupid="54" style="2" owner="jchristopherson" level="1" deltag="both">any</amend><amendoutend style="2"/><amend anum="0" ea="amend" pairid="44" groupid="39" style="1" owner="jchristopherson" level="1" amendtag="both" space="true">a</amend> grantor in the chain of the title in real <ln numlevel="1" lineno="82" slineno="1-60"/>property.</subsection></subsection><subsection ssid="1-null-40" dnum="11-o" numlevel="1" lineno="83" slineno="1-61" level="1"><display>(11)</display>"Record owner" means an owner whose name and ownership interest in <amendoutstart style="2"/><amend anum="0" ea="erase" pairid="61" groupid="56" style="2" owner="jchristopherson" level="1" deltag="both">certain </amend><amendoutend style="2"/>real <ln numlevel="1" lineno="84" slineno="1-62"/>property is recorded or filed in the county recorder's records for the county in which the <ln numlevel="1" lineno="85" slineno="1-63"/>property is located.</subsection><subsection ssid="1-null-41" dnum="12-o" numlevel="1" lineno="86" slineno="1-64" level="1" space="false"><display>(12)</display><subsection ssid="1-null-42" dnum="a-o" level="2" placement="sameline"><display>(a)</display>"Wrongful lien" means <amendoutstart style="2"/><amend anum="0" ea="erase" pairid="64" groupid="59" style="2" owner="jchristopherson" level="1" deltag="both">any</amend><amendoutend style="2"/><amend anum="0" ea="amend" pairid="45" groupid="40" style="1" owner="jchristopherson" level="1" amendtag="both" space="true">a</amend> document that purports to create a lien, notice of <ln numlevel="1" lineno="87" slineno="1-65"/>interest, or encumbrance on an owner's interest in <amendoutstart style="2"/><amend anum="0" ea="erase" pairid="66" groupid="61" style="2" owner="jchristopherson" level="1" deltag="both">certain </amend><amendoutend style="2"/>real property and at the <ln numlevel="1" lineno="88" slineno="1-66"/>time <amendoutstart style="2"/><amend anum="0" ea="erase" pairid="70" groupid="65" style="2" owner="jchristopherson" level="1" deltag="both">it</amend><amendoutend style="2"/><amend anum="0" ea="amend" pairid="46" groupid="41" style="1" owner="jchristopherson" level="1" amendtag="both" space="true">the document</amend> is recorded is not:<subsection ssid="1-null-43" dnum="i-o" numlevel="1" lineno="89" slineno="1-67" level="3" tab="1"><display>(i)</display>expressly authorized by this chapter or another state or federal statute;</subsection><subsection ssid="1-null-44" dnum="ii-o" numlevel="1" lineno="90" slineno="1-68" level="3" tab="1"><display>(ii)</display>authorized by or contained in an order or judgment of a court <amendoutstart style="2"/><amend anum="0" ea="erase" pairid="72" groupid="67" style="2" owner="jchristopherson" level="1" deltag="both">of competent</amend><amendoutend style="2"/><amend anum="0" ea="amend" pairid="47" groupid="42" style="1" owner="jchristopherson" level="1" amendtag="both" space="true">with</amend> <ln numlevel="1" lineno="91" slineno="1-69"/>jurisdiction in the state; or</subsection><subsection ssid="1-null-45" dnum="iii-o" numlevel="1" lineno="92" slineno="1-70" level="3" tab="1"><display>(iii)</display>signed by or authorized in accordance with a document signed by the owner of <ln numlevel="1" lineno="93" slineno="1-71"/>the real property.</subsection></subsection><subsection ssid="1-null-46" dnum="b-o" numlevel="1" lineno="94" slineno="1-72" level="2"><display>(b)</display>"Wrongful lien" includes<amend anum="0" ea="amend" pairid="6" groupid="5" style="1" owner="jchristopherson" level="1" amendtag="both">:</amend><subsection ssid="1-47" dnum="_-o:i-i" numlevel="1" lineno="95" slineno="1-73" ea="amend" anum="0" owner="jchristopherson" style="1" level="3"><display><amend anum="0" ea="amend" pairid="1046" style="1" owner="i" level="1" amendtag="both">(i)</amend></display><amendoutstart style="2"/><amend anum="0" ea="erase" pairid="16" groupid="14" style="2" owner="jchristopherson" level="1" deltag="both"> </amend><amendoutend style="2"/>a document recorded in violation of Subsection <xref depth="4" refnumber="10-20-508(2)(d)">10-20-508(2)(d)</xref><amendoutstart style="2"/><amend anum="0" ea="erase" pairid="17" groupid="15" style="2" owner="jchristopherson" level="1" deltag="both">.</amend><amendoutend style="2"/><amend anum="0" ea="amend" pairid="14" groupid="12" style="1" owner="jchristopherson" level="1" amendtag="both" space="true">; or</amend></subsection><subsection ssid="1-48" dnum="_-o:ii-i" numlevel="1" lineno="96" slineno="1-74" ea="amend" anum="0" owner="jchristopherson" style="1" level="3"><display><amend anum="0" ea="amend" pairid="1047" style="1" owner="i" level="1" amendtag="start">(ii)</amend></display><amend anum="0" ea="amend" pairid="13" groupid="11" style="1" owner="jchristopherson" level="1" amendtag="end">a document that purports to be a notice of transfer fee covenant described in <ln numlevel="1" lineno="97" slineno="1-75"/>Subsection <xref depth="4" refnumber="57-1-46(6)(a)">57-1-46(6)(a)</xref> or a document that purports to create, continue, or <ln numlevel="1" lineno="98" slineno="1-76"/>reestablish a transfer fee covenant as a lien or encumbrance on an owner's interest <ln numlevel="1" lineno="99" slineno="1-77"/>in real property, if at the time the document was recorded the transfer fee covenant <ln numlevel="1" lineno="100" slineno="1-78"/>was not enforceable due to the:</amend><subsection ssid="1-49" dnum="_-o:A-i" numlevel="1" lineno="101" slineno="1-79" ea="amend" anum="0" owner="jchristopherson" style="1" level="4"><display><amend anum="0" ea="amend" pairid="1048" style="1" owner="i" level="1" amendtag="start">(A)</amend></display><amend anum="0" ea="amend" pairid="23" groupid="20" style="1" owner="jchristopherson" level="1" amendtag="end">foreclosure of a trust deed or mortgage that has priority over the transfer fee <ln numlevel="1" lineno="102" slineno="1-80"/>covenant;</amend></subsection><subsection ssid="1-50" dnum="_-o:B-i" numlevel="1" lineno="103" slineno="1-81" ea="amend" anum="0" owner="jchristopherson" style="1" level="4"><display><amend anum="0" ea="amend" pairid="1049" style="1" owner="i" level="1" amendtag="start">(B)</amend></display><amend anum="0" ea="amend" pairid="28" groupid="24" style="1" owner="jchristopherson" level="1" amendtag="end">document not being recorded in accordance with Subsection <xref depth="4" refnumber="57-1-46(6)">57-1-46(6)</xref> or <ln numlevel="1" lineno="104" slineno="1-82"/>Section <xref depth="3" refnumber="57-1-47">57-1-47</xref>; or</amend></subsection><subsection ssid="1-51" dnum="_-o:C-i" numlevel="1" lineno="105" slineno="1-83" ea="amend" anum="0" owner="jchristopherson" style="1" level="4"><display><amend anum="0" ea="amend" pairid="1050" style="1" owner="i" level="1" amendtag="start">(C)</amend></display><amend anum="0" ea="amend" pairid="34" groupid="29" style="1" owner="jchristopherson" level="1" amendtag="end">existence of a recorded rescission, termination, release, waiver, or other <ln numlevel="1" lineno="106" slineno="1-84"/>document terminating the transfer fee covenant.</amend></subsection></subsection></subsection></subsection></section></bsec><bsec buid="2" num="57-1-46" type="amend" src="code" uid="C57-1-S46_2026050620260506" sort="57 01 00460020260506" numlevel="1" lineno="107" slineno="2-1" sn="2"><section number="57-1-46" numlevel="1" lineno="108" slineno="2-2" type="amend"><secline lineno="107">Section 2. Section <bold>57-1-46</bold> is amended to read:</secline><catline lineno="108"><bold>57-1-46<parens/>. Transfer fee and reinvestment fee covenants.</bold></catline><subsection ssid="2-null-1" dnum="1-o" numlevel="1" lineno="109" slineno="2-3" level="1" placement="noreturn"><display>(1)</display>As used in this section:<subsection ssid="2-null-2" dnum="a-o" numlevel="1" lineno="110" slineno="2-4" level="2"><display>(a)</display>"Association expenses" means expenses incurred by a common interest association <ln numlevel="1" lineno="111" slineno="2-5"/>for:<subsection ssid="2-null-3" dnum="i-o" numlevel="1" lineno="112" slineno="2-6" level="3"><display>(i)</display>the purchase, ownership, leasing, construction, operation, use, administration, <ln numlevel="1" lineno="113" slineno="2-7"/>maintenance, improvement, repair, or replacement of association facilities, <ln numlevel="1" lineno="114" slineno="2-8"/>including expenses for taxes, insurance, operating reserves, capital reserves, and <ln numlevel="1" lineno="115" slineno="2-9"/>emergency funds;</subsection><subsection ssid="2-null-4" dnum="ii-o" numlevel="1" lineno="116" slineno="2-10" level="3"><display>(ii)</display>providing, establishing, creating, or managing a facility, activity, service, or <ln numlevel="1" lineno="117" slineno="2-11"/>program for the benefit of property owners, tenants, common areas, the burdened <ln numlevel="1" lineno="118" slineno="2-12"/>property, or property governed by the common interest association; or</subsection><subsection ssid="2-null-5" dnum="iii-o" numlevel="1" lineno="119" slineno="2-13" level="3"><display>(iii)</display>other facilities, activities, services, or programs that are required or permitted <ln numlevel="1" lineno="120" slineno="2-14"/>under the common interest association's organizational documents.</subsection></subsection><subsection ssid="2-null-6" dnum="b-o" numlevel="1" lineno="121" slineno="2-15" level="2"><display>(b)</display>"Association facilities" means any real property, improvements on real property, or <ln numlevel="1" lineno="122" slineno="2-16"/>personal property owned, leased, constructed, developed, managed, or used by a <ln numlevel="1" lineno="123" slineno="2-17"/>common interest association, including common areas.</subsection><subsection ssid="2-null-7" dnum="c-o" numlevel="1" lineno="124" slineno="2-18" level="2"><display>(c)</display>"Association transfer fee" means a fee, charge, or payment that is:<subsection ssid="2-null-8" dnum="i-o" numlevel="1" lineno="125" slineno="2-19" level="3"><display>(i)</display>related to the sale of real property; and</subsection><subsection ssid="2-null-9" dnum="ii-o" numlevel="1" lineno="126" slineno="2-20" level="3"><display>(ii)</display>as a result of a transfer of the real property, is imposed on a buyer or seller by:<subsection ssid="2-null-10" dnum="A-o" numlevel="1" lineno="127" slineno="2-21" level="4"><display>(A)</display>a common interest association; or</subsection><subsection ssid="2-null-11" dnum="B-o" numlevel="1" lineno="128" slineno="2-22" level="4"><display>(B)</display>a person acting on behalf of the common interest association.</subsection></subsection></subsection><subsection ssid="2-null-12" dnum="d-o" numlevel="1" lineno="129" slineno="2-23" level="2"><display>(d)</display>"Burdened property" means the real property that is subject to a reinvestment fee <ln numlevel="1" lineno="130" slineno="2-24"/>covenant or transfer fee covenant.</subsection><subsection ssid="2-null-13" dnum="e-o" numlevel="1" lineno="131" slineno="2-25" level="2"><display>(e)</display>"Common areas" means areas described within:<subsection ssid="2-null-14" dnum="i-o" numlevel="1" lineno="132" slineno="2-26" level="3"><display>(i)</display>the definition of "common areas and facilities" under Section <xref depth="3" refnumber="57-8-3">57-8-3</xref>; and</subsection><subsection ssid="2-null-15" dnum="ii-o" numlevel="1" lineno="133" slineno="2-27" level="3"><display>(ii)</display>the definition of "common areas" under Section <xref depth="3" refnumber="57-8a-102">57-8a-102</xref>.</subsection></subsection><subsection ssid="2-null-16" dnum="f-o" numlevel="1" lineno="134" slineno="2-28" level="2" space="false"><display>(f)</display><subsection ssid="2-null-17" dnum="i-o" level="3" placement="sameline"><display>(i)</display>"Common interest association" means:<subsection ssid="2-null-18" dnum="A-o" numlevel="1" lineno="135" slineno="2-29" level="4" tab="1"><display>(A)</display>an association, as defined in Section <xref depth="3" refnumber="57-8a-102">57-8a-102</xref>;</subsection><subsection ssid="2-null-19" dnum="B-o" numlevel="1" lineno="136" slineno="2-30" level="4" tab="1"><display>(B)</display>an association of unit owners, as defined in Section <xref depth="3" refnumber="57-8-3">57-8-3</xref>; or</subsection><subsection ssid="2-null-20" dnum="C-o" numlevel="1" lineno="137" slineno="2-31" level="4" tab="1"><display>(C)</display>a nonprofit association.</subsection></subsection><subsection ssid="2-null-21" dnum="ii-o" numlevel="1" lineno="138" slineno="2-32" level="3"><display>(ii)</display>"Common interest association" includes a person authorized by an association, <ln numlevel="1" lineno="139" slineno="2-33"/>association of unit owners, or nonprofit association.</subsection></subsection><subsection ssid="2-null-22" dnum="g-o" numlevel="1" lineno="140" slineno="2-34" level="2"><display>(g)</display>"Large master planned development" means an approved development:<subsection ssid="2-null-23" dnum="i-o" numlevel="1" lineno="141" slineno="2-35" level="3"><display>(i)</display>of at least 500 acres or 500 units; and</subsection><subsection ssid="2-null-24" dnum="ii-o" numlevel="1" lineno="142" slineno="2-36" level="3"><display>(ii)</display>that includes a commitment to fund, construct, develop, or maintain:<subsection ssid="2-null-25" dnum="A-o" numlevel="1" lineno="143" slineno="2-37" level="4"><display>(A)</display>common infrastructure;</subsection><subsection ssid="2-null-26" dnum="B-o" numlevel="1" lineno="144" slineno="2-38" level="4"><display>(B)</display>association facilities;</subsection><subsection ssid="2-null-27" dnum="C-o" numlevel="1" lineno="145" slineno="2-39" level="4"><display>(C)</display>community programming;</subsection><subsection ssid="2-null-28" dnum="D-o" numlevel="1" lineno="146" slineno="2-40" level="4"><display>(D)</display>resort facilities;</subsection><subsection ssid="2-null-29" dnum="E-o" numlevel="1" lineno="147" slineno="2-41" level="4"><display>(E)</display>open space; or</subsection><subsection ssid="2-null-30" dnum="F-o" numlevel="1" lineno="148" slineno="2-42" level="4"><display>(F)</display>recreation amenities.</subsection></subsection></subsection><subsection ssid="2-null-31" dnum="h-o" numlevel="1" lineno="149" slineno="2-43" level="2"><display>(h)</display>"Nonprofit association" means a nonprofit corporation organized under Title 16, <ln numlevel="1" lineno="150" slineno="2-44"/>Chapter 6a, Utah Revised Nonprofit Corporation Act, to benefit, enhance, preserve, <ln numlevel="1" lineno="151" slineno="2-45"/>govern, manage, or maintain burdened property.</subsection><subsection ssid="2-null-32" dnum="i-o" numlevel="1" lineno="152" slineno="2-46" level="2"><display>(i)</display>"Organizational documents" means:<subsection ssid="2-null-33" dnum="i-o" numlevel="1" lineno="153" slineno="2-47" level="3"><display>(i)</display>for an association, as defined in Section <xref depth="3" refnumber="57-8a-102">57-8a-102</xref>, governing documents as <ln numlevel="1" lineno="154" slineno="2-48"/>defined in Section <xref depth="3" refnumber="57-8a-102">57-8a-102</xref>;</subsection><subsection ssid="2-null-34" dnum="ii-o" numlevel="1" lineno="155" slineno="2-49" level="3"><display>(ii)</display>for an association of unit owners, as defined in Section <xref depth="3" refnumber="57-8-3">57-8-3</xref>, a declaration as <ln numlevel="1" lineno="156" slineno="2-50"/>defined in Section <xref depth="3" refnumber="57-8-3">57-8-3</xref>; and</subsection><subsection ssid="2-null-35" dnum="iii-o" numlevel="1" lineno="157" slineno="2-51" level="3"><display>(iii)</display>for a nonprofit association:<subsection ssid="2-null-36" dnum="A-o" numlevel="1" lineno="158" slineno="2-52" level="4"><display>(A)</display>a written instrument by which the nonprofit association exercises powers or <ln numlevel="1" lineno="159" slineno="2-53"/>manages, maintains, or otherwise affects the property under the jurisdiction of <ln numlevel="1" lineno="160" slineno="2-54"/>the nonprofit association; and</subsection><subsection ssid="2-null-37" dnum="B-o" numlevel="1" lineno="161" slineno="2-55" level="4"><display>(B)</display>articles of incorporation, bylaws, plats, charters, the nonprofit association's <ln numlevel="1" lineno="162" slineno="2-56"/>rules, and declarations of covenants, conditions, and restrictions.</subsection></subsection></subsection><subsection ssid="2-null-38" dnum="j-o" numlevel="1" lineno="163" slineno="2-57" level="2"><display>(j)</display>"Reinvestment fee" means a fee imposed, directly or indirectly, by a common interest <ln numlevel="1" lineno="164" slineno="2-58"/>association:<subsection ssid="2-null-39" dnum="i-o" numlevel="1" lineno="165" slineno="2-59" level="3"><display>(i)</display>upon a buyer or seller of real property;</subsection><subsection ssid="2-null-40" dnum="ii-o" numlevel="1" lineno="166" slineno="2-60" level="3"><display>(ii)</display>upon and as a result of a transfer of the real property; and</subsection><subsection ssid="2-null-41" dnum="iii-o" numlevel="1" lineno="167" slineno="2-61" level="3"><display>(iii)</display>that is dedicated to benefiting the common areas, including payment for:<subsection ssid="2-null-42" dnum="A-o" numlevel="1" lineno="168" slineno="2-62" level="4"><display>(A)</display>common planning, facilities, and infrastructure;</subsection><subsection ssid="2-null-43" dnum="B-o" numlevel="1" lineno="169" slineno="2-63" level="4"><display>(B)</display>obligations arising from an environmental covenant;</subsection><subsection ssid="2-null-44" dnum="C-o" numlevel="1" lineno="170" slineno="2-64" level="4"><display>(C)</display>community programming;</subsection><subsection ssid="2-null-45" dnum="D-o" numlevel="1" lineno="171" slineno="2-65" level="4"><display>(D)</display>resort facilities;</subsection><subsection ssid="2-null-46" dnum="E-o" numlevel="1" lineno="172" slineno="2-66" level="4"><display>(E)</display>open space;</subsection><subsection ssid="2-null-47" dnum="F-o" numlevel="1" lineno="173" slineno="2-67" level="4"><display>(F)</display>recreation amenities;</subsection><subsection ssid="2-null-48" dnum="G-o" numlevel="1" lineno="174" slineno="2-68" level="4"><display>(G)</display>charitable purposes; or</subsection><subsection ssid="2-null-49" dnum="H-o" numlevel="1" lineno="175" slineno="2-69" level="4"><display>(H)</display>association expenses.</subsection></subsection></subsection><subsection ssid="2-null-50" dnum="k-o" numlevel="1" lineno="176" slineno="2-70" level="2"><display>(k)</display>"Reinvestment fee covenant" means a covenant, restriction, or agreement that:<subsection ssid="2-null-51" dnum="i-o" numlevel="1" lineno="177" slineno="2-71" level="3"><display>(i)</display>affects real property; and</subsection><subsection ssid="2-null-52" dnum="ii-o" numlevel="1" lineno="178" slineno="2-72" level="3"><display>(ii)</display>obligates a future buyer or seller of the real property to pay to a common interest <ln numlevel="1" lineno="179" slineno="2-73"/>association, upon and as a result of a transfer of the real property, a fee that is <ln numlevel="1" lineno="180" slineno="2-74"/>dedicated to benefitting the burdened property, including payment for:<subsection ssid="2-null-53" dnum="A-o" numlevel="1" lineno="181" slineno="2-75" level="4"><display>(A)</display>common planning, facilities, and infrastructure;</subsection><subsection ssid="2-null-54" dnum="B-o" numlevel="1" lineno="182" slineno="2-76" level="4"><display>(B)</display>obligations arising from an environmental covenant;</subsection><subsection ssid="2-null-55" dnum="C-o" numlevel="1" lineno="183" slineno="2-77" level="4"><display>(C)</display>community programming;</subsection><subsection ssid="2-null-56" dnum="D-o" numlevel="1" lineno="184" slineno="2-78" level="4"><display>(D)</display>resort facilities;</subsection><subsection ssid="2-null-57" dnum="E-o" numlevel="1" lineno="185" slineno="2-79" level="4"><display>(E)</display>open space;</subsection><subsection ssid="2-null-58" dnum="F-o" numlevel="1" lineno="186" slineno="2-80" level="4"><display>(F)</display>recreation amenities;</subsection><subsection ssid="2-null-59" dnum="G-o" numlevel="1" lineno="187" slineno="2-81" level="4"><display>(G)</display>charitable purposes; or</subsection><subsection ssid="2-null-60" dnum="H-o" numlevel="1" lineno="188" slineno="2-82" level="4"><display>(H)</display>association expenses.</subsection></subsection></subsection><subsection ssid="2-null-61" dnum="l-o" numlevel="1" lineno="189" slineno="2-83" level="2"><display>(l)</display>"Transfer fee covenant":<subsection ssid="2-null-62" dnum="i-o" numlevel="1" lineno="190" slineno="2-84" level="3"><display>(i)</display>means an obligation, however denominated, expressed in a covenant, restriction, <ln numlevel="1" lineno="191" slineno="2-85"/>agreement, or other instrument or document:<subsection ssid="2-null-63" dnum="A-o" numlevel="1" lineno="192" slineno="2-86" level="4"><display>(A)</display>that affects real property;</subsection><subsection ssid="2-null-64" dnum="B-o" numlevel="1" lineno="193" slineno="2-87" level="4"><display>(B)</display>that is imposed on a future buyer or seller of real property, other than a person <ln numlevel="1" lineno="194" slineno="2-88"/>who is a party to the covenant, restriction, agreement, or other instrument or <ln numlevel="1" lineno="195" slineno="2-89"/>document; and</subsection><subsection ssid="2-null-65" dnum="C-o" numlevel="1" lineno="196" slineno="2-90" level="4"><display>(C)</display>to pay a fee upon and as a result of a transfer of the real property; and</subsection></subsection><subsection ssid="2-null-66" dnum="ii-o" numlevel="1" lineno="197" slineno="2-91" level="3"><display>(ii)</display>does not include:<subsection ssid="2-null-67" dnum="A-o" numlevel="1" lineno="198" slineno="2-92" level="4"><display>(A)</display>an obligation imposed by a court judgment, order, or decree;</subsection><subsection ssid="2-null-68" dnum="B-o" numlevel="1" lineno="199" slineno="2-93" level="4"><display>(B)</display>an obligation imposed by the federal government or a state or local <ln numlevel="1" lineno="200" slineno="2-94"/>government entity; or</subsection><subsection ssid="2-null-69" dnum="C-o" numlevel="1" lineno="201" slineno="2-95" level="4"><display>(C)</display>a reinvestment fee covenant.</subsection></subsection></subsection></subsection><subsection ssid="2-null-70" dnum="2-o" numlevel="1" lineno="202" slineno="2-96" level="1"><display>(2)</display>A transfer fee covenant recorded on or after March 16, 2010, is void and unenforceable.</subsection><subsection ssid="2-null-71" dnum="3-o" numlevel="1" lineno="203" slineno="2-97" level="1" space="false"><display>(3)</display><subsection ssid="2-null-72" dnum="a-o" level="2" placement="sameline"><display>(a)</display>Except as provided in Subsection <xref depth="4" refnumber="57-1-46(3)(b)">(3)(b)</xref>, a reinvestment fee covenant may not be <ln numlevel="1" lineno="204" slineno="2-98"/>sold, assigned, or conveyed unless the sale, assignment, or conveyance is to a <ln numlevel="1" lineno="205" slineno="2-99"/>common interest association that was formed to benefit the burdened property.</subsection><subsection ssid="2-null-73" dnum="b-o" numlevel="1" lineno="206" slineno="2-100" level="2"><display>(b)</display>A common interest association may assign or pledge to a lender the right to receive <ln numlevel="1" lineno="207" slineno="2-101"/>payment under a reinvestment fee covenant if:<subsection ssid="2-null-74" dnum="i-o" numlevel="1" lineno="208" slineno="2-102" level="3"><display>(i)</display>the assignment or pledge is as collateral for a credit facility; and</subsection><subsection ssid="2-null-75" dnum="ii-o" numlevel="1" lineno="209" slineno="2-103" level="3"><display>(ii)</display>the lender releases the collateral interest upon payment in full of all amounts that <ln numlevel="1" lineno="210" slineno="2-104"/>the common interest association owes to the lender under the credit facility.</subsection></subsection></subsection><subsection ssid="2-null-76" dnum="4-o" numlevel="1" lineno="211" slineno="2-105" level="1"><display>(4)</display>A reinvestment fee covenant recorded on or after March 16, 2010, is not enforceable if <ln numlevel="1" lineno="212" slineno="2-106"/>the reinvestment fee covenant is intended to affect property that is the subject of a <ln numlevel="1" lineno="213" slineno="2-107"/>previously recorded transfer fee covenant or reinvestment fee covenant.</subsection><subsection ssid="2-null-77" dnum="5-o" numlevel="1" lineno="214" slineno="2-108" level="1"><display>(5)</display>A reinvestment fee covenant recorded on or after March 16, 2010, may not obligate the <ln numlevel="1" lineno="215" slineno="2-109"/>payment of a fee that exceeds .5% of the value of the burdened property, unless the <ln numlevel="1" lineno="216" slineno="2-110"/>burdened property is part of a large master planned development.</subsection><subsection ssid="2-null-78" dnum="6-o" numlevel="1" lineno="217" slineno="2-111" level="1" space="false"><display>(6)</display><subsection ssid="2-null-79" dnum="a-o" level="2" placement="sameline"><display>(a)</display>A reinvestment fee covenant recorded on or after March 16, 2010, is void and <ln numlevel="1" lineno="218" slineno="2-112"/>unenforceable unless a notice of reinvestment fee covenant<amend anum="0" ea="amend" pairid="3" groupid="4" style="1" owner="jchristopherson" level="1" amendtag="both"> or a notice of transfer fee <ln numlevel="1" lineno="219" slineno="2-113"/>covenant</amend>, separate from the reinvestment fee covenant<amend anum="0" ea="amend" pairid="4" groupid="5" style="1" owner="jchristopherson" level="1" amendtag="both"> or transfer fee covenant</amend>, is <ln numlevel="1" lineno="220" slineno="2-114"/>recorded in the office of the recorder of each county in which any of the burdened <ln numlevel="1" lineno="221" slineno="2-115"/>property is located.</subsection><subsection ssid="2-null-80" dnum="b-o" numlevel="1" lineno="222" slineno="2-116" level="2"><display>(b)</display>A notice under Subsection <xref depth="4" refnumber="57-1-46(6)(a)">(6)(a)</xref> shall:<subsection ssid="2-null-81" dnum="i-o" numlevel="1" lineno="223" slineno="2-117" level="3"><display>(i)</display>state the name and address of the common interest association to which the fee <ln numlevel="1" lineno="224" slineno="2-118"/>under the reinvestment fee covenant is required to be paid;</subsection><subsection ssid="2-null-82" dnum="ii-o" numlevel="1" lineno="225" slineno="2-119" level="3"><display>(ii)</display>include the notarized signature of the common interest association's authorized <ln numlevel="1" lineno="226" slineno="2-120"/>representative;</subsection><subsection ssid="2-null-83" dnum="iii-o" numlevel="1" lineno="227" slineno="2-121" level="3"><display>(iii)</display>state that the burden of the reinvestment fee covenant is intended to run with the <ln numlevel="1" lineno="228" slineno="2-122"/>land and to bind successors in interest and assigns;</subsection><subsection ssid="2-null-84" dnum="iv-o" numlevel="1" lineno="229" slineno="2-123" level="3"><display>(iv)</display>state that the existence of the reinvestment fee covenant precludes the imposition <ln numlevel="1" lineno="230" slineno="2-124"/>of an additional reinvestment fee covenant on the burdened property;</subsection><subsection ssid="2-null-85" dnum="v-o" numlevel="1" lineno="231" slineno="2-125" level="3"><display>(v)</display>state the duration of the reinvestment fee covenant;</subsection><subsection ssid="2-null-86" dnum="vi-o" numlevel="1" lineno="232" slineno="2-126" level="3"><display>(vi)</display>state the purpose of the fee required to be paid under the reinvestment fee <ln numlevel="1" lineno="233" slineno="2-127"/>covenant; and</subsection><subsection ssid="2-null-87" dnum="vii-o" numlevel="1" lineno="234" slineno="2-128" level="3"><display>(vii)</display>state that the fee required to be paid under the reinvestment fee covenant is <ln numlevel="1" lineno="235" slineno="2-129"/>required to benefit the burdened property.</subsection></subsection><subsection ssid="2-null-88" dnum="c-o" numlevel="1" lineno="236" slineno="2-130" level="2"><display>(c)</display>A recorded notice of reinvestment fee covenant that substantially complies with the <ln numlevel="1" lineno="237" slineno="2-131"/>requirements of Subsection <xref depth="4" refnumber="57-1-46(6)(b)">(6)(b)</xref> is valid and effective.</subsection></subsection><subsection ssid="2-null-89" dnum="7-o" numlevel="1" lineno="238" slineno="2-132" level="1" space="false"><display>(7)</display><subsection ssid="2-null-90" dnum="a-o" level="2" placement="sameline"><display>(a)</display>A reinvestment fee covenant or transfer fee covenant recorded before March 16, <ln numlevel="1" lineno="239" slineno="2-133"/>2010, is not enforceable after May 31, 2010, unless:<subsection ssid="2-null-91" dnum="i-o" numlevel="1" lineno="240" slineno="2-134" level="3" tab="1"><display>(i)</display>a notice that is consistent with the notice described in Subsection <xref depth="4" refnumber="57-1-46(6)">(6)</xref> is recorded in <ln numlevel="1" lineno="241" slineno="2-135"/>the office of the recorder of each county in which any of the burdened property is <ln numlevel="1" lineno="242" slineno="2-136"/>located; or</subsection><subsection ssid="2-null-92" dnum="ii-o" numlevel="1" lineno="243" slineno="2-137" level="3" tab="1"><display>(ii)</display>a notice of reinvestment fee covenant or transfer fee covenant, as described in <ln numlevel="1" lineno="244" slineno="2-138"/>Subsection <xref depth="4" refnumber="57-1-46(7)(b)">(7)(b)</xref>, is recorded in the office of the recorder of each county in which <ln numlevel="1" lineno="245" slineno="2-139"/>any of the burdened property is located.</subsection></subsection><subsection ssid="2-null-93" dnum="b-o" numlevel="1" lineno="246" slineno="2-140" level="2"><display>(b)</display>A notice under Subsection <xref depth="4" refnumber="57-1-46(7)(a)(ii)">(7)(a)(ii)</xref> shall:<subsection ssid="2-null-94" dnum="i-o" numlevel="1" lineno="247" slineno="2-141" level="3"><display>(i)</display>include the notarized signature of the beneficiary of the reinvestment fee covenant <ln numlevel="1" lineno="248" slineno="2-142"/>or transfer fee covenant, or the beneficiary's authorized representative;</subsection><subsection ssid="2-null-95" dnum="ii-o" numlevel="1" lineno="249" slineno="2-143" level="3"><display>(ii)</display>state the name and current address of the beneficiary under the reinvestment fee <ln numlevel="1" lineno="250" slineno="2-144"/>covenant or transfer fee covenant;</subsection><subsection ssid="2-null-96" dnum="iii-o" numlevel="1" lineno="251" slineno="2-145" level="3"><display>(iii)</display>state that the burden of the reinvestment fee covenant or transfer fee covenant is <ln numlevel="1" lineno="252" slineno="2-146"/>intended to run with the land and to bind successors in interest and assigns; and</subsection><subsection ssid="2-null-97" dnum="iv-o" numlevel="1" lineno="253" slineno="2-147" level="3"><display>(iv)</display>state the duration of the reinvestment fee covenant or transfer fee covenant.</subsection></subsection><subsection ssid="2-null-98" dnum="c-o" numlevel="1" lineno="254" slineno="2-148" level="2"><display>(c)</display>A recorded notice of reinvestment fee covenant or transfer fee covenant that <ln numlevel="1" lineno="255" slineno="2-149"/>substantially complies with the requirements of Subsection <xref depth="4" refnumber="57-1-46(7)(b)">(7)(b)</xref> is valid and <ln numlevel="1" lineno="256" slineno="2-150"/>effective<amend anum="0" ea="amend" pairid="5" groupid="6" style="1" owner="jchristopherson" level="1" amendtag="both">, unless the notice is a wrongful lien as that term is defined in Section <xref depth="3" refnumber="38-9-102"><ln numlevel="1" lineno="257" slineno="2-151"/>38-9-102</xref></amend>.</subsection><subsection ssid="2-null-99" dnum="d-o" numlevel="1" lineno="258" slineno="2-152" level="2"><display>(d)</display>A notice under Subsection <xref depth="4" refnumber="57-1-46(7)(b)">(7)(b)</xref>:<subsection ssid="2-null-100" dnum="i-o" numlevel="1" lineno="259" slineno="2-153" level="3"><display>(i)</display>that is recorded after May 31, 2010, is not enforceable; and</subsection><subsection ssid="2-null-101" dnum="ii-o" numlevel="1" lineno="260" slineno="2-154" level="3"><display>(ii)</display>shall comply with the requirements of Section <xref depth="3" refnumber="57-1-47">57-1-47</xref>.</subsection></subsection><subsection ssid="2-null-102" dnum="e-o" numlevel="1" lineno="261" slineno="2-155" level="2"><display>(e)</display>An amendment to a notice under Subsection <xref depth="4" refnumber="57-1-46(7)(b)">(7)(b)</xref> recorded after May 31, 2010, <ln numlevel="1" lineno="262" slineno="2-156"/>seeking to amend a notice under Subsection <xref depth="4" refnumber="57-1-46(7)(b)">(7)(b)</xref> recorded before May 31, 2010, is <ln numlevel="1" lineno="263" slineno="2-157"/>not an enforceable amendment.</subsection></subsection><subsection ssid="2-null-103" dnum="8-o" numlevel="1" lineno="264" slineno="2-158" level="1"><display>(8)</display>A reinvestment fee covenant recorded on or after March 16, 2010, may not be enforced <ln numlevel="1" lineno="265" slineno="2-159"/>upon:<subsection ssid="2-null-104" dnum="a-o" numlevel="1" lineno="266" slineno="2-160" level="2"><display>(a)</display>an involuntary transfer;</subsection><subsection ssid="2-null-105" dnum="b-o" numlevel="1" lineno="267" slineno="2-161" level="2"><display>(b)</display>a transfer that results from a court order;</subsection><subsection ssid="2-null-106" dnum="c-o" numlevel="1" lineno="268" slineno="2-162" level="2"><display>(c)</display>a bona fide transfer to a family member of the seller within three degrees of <ln numlevel="1" lineno="269" slineno="2-163"/>consanguinity who, before the transfer, provides adequate proof of consanguinity;</subsection><subsection ssid="2-null-107" dnum="d-o" numlevel="1" lineno="270" slineno="2-164" level="2"><display>(d)</display>a transfer or change of interest due to death, whether provided in a will, trust, or <ln numlevel="1" lineno="271" slineno="2-165"/>decree of distribution; or</subsection><subsection ssid="2-null-108" dnum="e-o" numlevel="1" lineno="272" slineno="2-166" level="2"><display>(e)</display>the transfer of burdened property by a financial institution, except to the extent that <ln numlevel="1" lineno="273" slineno="2-167"/>the reinvestment fee covenant requires the payment of a common interest <ln numlevel="1" lineno="274" slineno="2-168"/>association's costs directly related to the transfer of the burdened property, not to <ln numlevel="1" lineno="275" slineno="2-169"/>exceed $250.</subsection></subsection><subsection ssid="2-null-109" dnum="9-o" numlevel="1" lineno="276" slineno="2-170" level="1"><display>(9)</display>An association transfer fee imposed on or after May 7, 2025, is void and unenforceable <ln numlevel="1" lineno="277" slineno="2-171"/>unless the association uses the fee only to pay expenses related to the transfer.</subsection><subsection ssid="2-null-110" dnum="10-o" numlevel="1" lineno="278" slineno="2-172" level="1"><display>(10)</display>On or after May 7, 2025, an association may not impose a reinvestment fee unless:<subsection ssid="2-null-111" dnum="a-o" numlevel="1" lineno="279" slineno="2-173" level="2"><display>(a)</display>imposing the reinvestment fee is authorized in the declaration or a reinvestment fee <ln numlevel="1" lineno="280" slineno="2-174"/>covenant; and</subsection><subsection ssid="2-null-112" dnum="b-o" numlevel="1" lineno="281" slineno="2-175" level="2"><display>(b)</display>a majority of voting interests in the association, or a higher percentage if required in <ln numlevel="1" lineno="282" slineno="2-176"/>the organizational documents, approves the reinvestment fee.</subsection></subsection><subsection ssid="2-null-113" dnum="11-o" numlevel="1" lineno="283" slineno="2-177" level="1"><display>(11)</display>After a vote approving the reinvestment fee described in Subsection <xref refnumber="57-1-46(10)(b)" depth="4">(10)(b)</xref>, an <ln numlevel="1" lineno="284" slineno="2-178"/>association may set the amount of a reinvestment fee only:<subsection ssid="2-null-114" dnum="a-o" numlevel="1" lineno="285" slineno="2-179" level="2"><display>(a)</display>in accordance with the terms of the declaration or a reinvestment fee covenant; and</subsection><subsection ssid="2-null-115" dnum="b-o" numlevel="1" lineno="286" slineno="2-180" level="2"><display>(b)</display>upon providing notice in accordance with Section <xref depth="3" refnumber="57-8a-214">57-8a-214</xref>.</subsection></subsection><subsection ssid="2-null-116" dnum="12-o" numlevel="1" lineno="287" slineno="2-181" level="1"><display>(12)</display>Members of the association may remove or amend a reinvestment fee by holding a <ln numlevel="1" lineno="288" slineno="2-182"/>vote at a special meeting:<subsection ssid="2-null-117" dnum="a-o" numlevel="1" lineno="289" slineno="2-183" level="2"><display>(a)</display>called by the members for the purpose of removing or amending the reinvestment <ln numlevel="1" lineno="290" slineno="2-184"/>fee; and</subsection><subsection ssid="2-null-118" dnum="b-o" numlevel="1" lineno="291" slineno="2-185" level="2"><display>(b)</display>at which:<subsection ssid="2-null-119" dnum="i-o" numlevel="1" lineno="292" slineno="2-186" level="3"><display>(i)</display>at least 51% of the voting interests attend and vote; and</subsection><subsection ssid="2-null-120" dnum="ii-o" numlevel="1" lineno="293" slineno="2-187" level="3"><display>(ii)</display>a majority of the voting interests that attend vote to remove or amend the <ln numlevel="1" lineno="294" slineno="2-188"/>reinvestment fee.</subsection></subsection></subsection></section></bsec><bsec buid="3" num="57-1-47" type="amend" src="code" uid="C57-1-S47_2026050620260506" sort="57 01 00470020260506" numlevel="1" lineno="295" slineno="3-1" sn="3"><section number="57-1-47" numlevel="1" lineno="296" slineno="3-2" type="amend"><secline lineno="295">Section 3. Section <bold>57-1-47</bold> is amended to read:</secline><catline lineno="296"><bold>57-1-47<parens/>. Notice requirements for continuation of existing private transfer fee <ln numlevel="1" lineno="297" slineno="3-3"/>obligations.</bold></catline><subsection ssid="3-null-1" dnum="1-o" numlevel="1" lineno="298" slineno="3-4" level="1" placement="noreturn"><display>(1)</display>In addition to the requirements described in Subsection <xref depth="4" refnumber="57-1-46(7)">57-1-46(7)</xref>, a person required to <ln numlevel="1" lineno="299" slineno="3-5"/>file a notice under this section shall:<subsection ssid="3-null-2" dnum="a-o" numlevel="1" lineno="300" slineno="3-6" level="2" space="false"><display>(a)</display><subsection ssid="3-null-3" dnum="i-o" level="3" placement="sameline"><display>(i)</display>file the notice described in this section on or before May 31, 2024; and</subsection><subsection ssid="3-null-4" dnum="ii-o" numlevel="1" lineno="301" slineno="3-7" level="3"><display>(ii)</display>re-file the notice, no earlier than May 1 and no later than May 31, every three <ln numlevel="1" lineno="302" slineno="3-8"/>years thereafter; and</subsection></subsection><subsection ssid="3-null-5" dnum="b-o" numlevel="1" lineno="303" slineno="3-9" level="2"><display>(b)</display>amend the notice to reflect any change in the name or address of any payee included <ln numlevel="1" lineno="304" slineno="3-10"/>in the notice no later than the 30 days after the day on which the change occurs.</subsection></subsection><subsection ssid="3-null-6" dnum="2-o" numlevel="1" lineno="305" slineno="3-11" level="1"><display>(2)</display>A person who amends a notice filed under Subsection <xref depth="4" refnumber="57-1-47(1)">(1)</xref> shall include with the <ln numlevel="1" lineno="306" slineno="3-12"/>amendment:<subsection ssid="3-null-7" dnum="a-o" numlevel="1" lineno="307" slineno="3-13" level="2"><display>(a)</display>the recording information of the original notice; and</subsection><subsection ssid="3-null-8" dnum="b-o" numlevel="1" lineno="308" slineno="3-14" level="2"><display>(b)</display>the legal description of the property subject to the private transfer fee obligation.</subsection></subsection><subsection ssid="3-null-9" dnum="3-o" numlevel="1" lineno="309" slineno="3-15" level="1"><display>(3)</display>To be effective, a notice filed under this section shall be approved in writing by every <ln numlevel="1" lineno="310" slineno="3-16"/>person holding a majority of the beneficial interests in the private transfer fee obligation.</subsection><subsection ssid="3-null-10" dnum="4-o" numlevel="1" lineno="311" slineno="3-17" level="1"><display>(4)</display>If a person required to file a notice under this section fails to comply with this section:<subsection ssid="3-null-11" dnum="a-o" numlevel="1" lineno="312" slineno="3-18" level="2"><display>(a)</display>payment of the private transfer fee may not be a requirement for the conveyance of <ln numlevel="1" lineno="313" slineno="3-19"/>an interest in the property to a purchaser;</subsection><subsection ssid="3-null-12" dnum="b-o" numlevel="1" lineno="314" slineno="3-20" level="2"><display>(b)</display>the property is not subject to further obligation under the private transfer fee <ln numlevel="1" lineno="315" slineno="3-21"/>obligation; and</subsection><subsection ssid="3-null-13" dnum="c-o" numlevel="1" lineno="316" slineno="3-22" level="2"><display>(c)</display>the private transfer fee obligation is void.</subsection></subsection><subsection ssid="3-null-14" dnum="5-o" numlevel="1" lineno="317" slineno="3-23" level="1"><display>(5)</display>A recorded notice of transfer fee covenant that complies with the requirements of this <ln numlevel="1" lineno="318" slineno="3-24"/>section is valid and effective<amend anum="0" ea="amend" pairid="2" groupid="2" style="1" owner="jchristopherson" level="1" amendtag="both">, unless the notice is a wrongful lien as that term is defined <ln numlevel="1" lineno="319" slineno="3-25"/>in Section <xref depth="3" refnumber="38-9-102">38-9-102</xref></amend>.</subsection><subsection ssid="3-null-15" dnum="6-o" numlevel="1" lineno="320" slineno="3-26" level="1" space="false"><display>(6)</display><subsection ssid="3-null-16" dnum="a-o" level="2" placement="sameline"><display>(a)</display>A person that is no longer subject to a private transfer fee obligation may seek <ln numlevel="1" lineno="321" slineno="3-27"/>declaratory relief in court to address any encumbrance on real property owned by the <ln numlevel="1" lineno="322" slineno="3-28"/>person.</subsection><subsection ssid="3-null-17" dnum="b-o" numlevel="1" lineno="323" slineno="3-29" level="2"><display>(b)</display>Upon a successful claim for declaratory relief, as described in Subsection <xref depth="4" refnumber="57-1-47(6)(a)">(6)(a)</xref>, a <ln numlevel="1" lineno="324" slineno="3-30"/>court may award the person costs and reasonable attorney fees.</subsection></subsection></section></bsec><bsec buid="4" type="uncod" untype="effdate" src="uncod" uid="EF0000" sort="UZEFF" langlock="true" numlevel="1" lineno="325" slineno="4-1" sn="4"><section type="uncod" untype="effdate" display="false" src="uncod"><secline lineno="325">Section 4.  <bold>Effective Date.</bold></secline><sectionText lineno="326"><amend anum="0" ea="amend" pairid="1" groupid="1" style="1" owner="jchristopherson" level="1" amendtag="both">This bill takes effect on <effdate uid="code" date="5/6/2026">May 6, 2026</effdate>.</amend></sectionText></section></bsec></bdy><foot><rev><tm>1-26-26 10:11 AM</tm></rev></foot></leg>
