Enacted by Chapter 93, 2026 General Session2026Permitted names.Except as provided in Subsection (3) or (4), the name of a domestic filing entity, the name under which a foreign entity may register to do business in this state, and a D.B.A. registered under Title 42, Chapter 2, Conducting Business as a D.B.A., shall be distinguishable on the records of the division from a:name of an existing domestic filing entity that at the time is not dissolved;name under which a foreign entity is registered to do business in this state under Section 16-1a-503;D.B.A. registered under Title 42, Chapter 2, Conducting Business as a D.B.A.;name reserved under Section 16-1a-304; orname registered under Section 16-1a-305.Except as otherwise provided in Subsection (4), a name is distinguishable from other names registered with the division if the name contains one or more different words, letters, or numerals from other names in the division's records.The following differences do not qualify as distinguishing between two names:the term:"Assoc.";"association";"Assn.";"B.L.C.";"B.L.L.C";"benefit limited company";"benefit limited liability company";"BLC";"BLLC";"Co.";"company";"co-op";"coop";"cooperative";"corp.";"corporation";"D.A.O.";"DAO";"decentralized autonomous organization";"Inc.";"incorporated";"L3C";"LC";"L.C.";"L.C.A.";"L.D.";"L.DAO";"L.L.C.";"L.L.D.";"L.L.DAO";"L.L.P";"L.P.";"LCA";"limited";"Limited Co";"limited company";"limited cooperative association";"limited decentralized autonomous organization";"limited liability company";"limited liability decentralized autonomous organization";"limited liability partnership";"limited partnership";"LD";"LLC";"LLD";"LLDAO";"LLP";"LP";"Ltd.";"Ltd Co";"Ltd Company";"Ltd DAO";"Ltd Liability Co";"Ltd Liability Company";"Ltd Liability DAO";"P.A.";"P.C.";"P.L.C.";"P.L.L.C";"PA";"PC";"PLC";"PLLC";"professional association";"professional corporation";"professional limited liability company";"R.L.L.P.";"registered limited liability partnership"; or"RLLP";an abbreviation of a word listed in Subsection (3)(a);the presence or absence of the words or symbols of the words:"the";"and";"a"; or"plus";a difference in punctuation, spacing, or special characters;a difference in capitalization; andfor an entity's name described in Subsection (1) that formed in this state on or after May 4, 1998:an abbreviation of a word or phrase; ora difference in the singular or plural form of a word.An entity may consent in a record to a person's use of a name that is not distinguishable on the records of the division from the entity's name if the name includes a term described in Subsection (3)(a).If an entity consents to a person's use of a name in accordance with Subsection (4)(a), the entity is not required to change the entity's name.An entity's name shall comply with Section 7-1-701.An entity's name may not contain the words:without the consent of the United States Olympic Committee:"Olympic";"Olympiad"; or"Citius Altius Fortius";for an entity's name described in Subsection (1) that an entity changes or forms on or after May 4, 2022, the number sequence "911"; orwithout the consent of the Department of Financial Institutions, the words described in Section 7-1-701.An entity may use a name that is not distinguishable from a name described in Subsection (1) if the entity delivers to the division for filing a certified copy of a final judgment of a court with jurisdiction establishing the right of the entity to use the name in this state.The division may not approve for filing a name that implies that an entity is an agency of this state or any of the state's political subdivisions, if the entity is not actually an agency of this state or any of the state's political subdivisions.

Enacted by Chapter 93, 2026 General Session2026Name requirements for certain types of entities.The corporate name of a nonprofit organization:may, but is not required to contain:the word:"corporation";"incorporated";"company"; ora word of similar import; orthe abbreviation:"Corp.";"Inc.";"Co."; oran abbreviation of similar import; andmay not contain:a word or phrase that indicates or implies that the nonprofit corporation is organized for a purpose other than a purpose permitted by:Section 16-6a-301; andthe nonprofit corporation's articles of incorporation; orthe term:"limited liability company";"limited company";"limited liability partnership"; or"limited partnership"; ora word or abbreviation of similar import to a term listed in Subsection (1)(b)(ii).The name of a corporation shall contain:the word:"corporation";"incorporated";"company"; ora word of similar import;the abbreviation:"Corp.";"Inc.";"Co."; oran abbreviation of similar import; andfor a business corporation, may not contain language stating or implying that a business corporation is organized for a purpose other than a purpose permitted by:Section 16-10a-301; andthe business corporation's articles of incorporation.The name of a corporation or a foreign corporation may not contain:the term:"decentralized autonomous organization";"limited liability company";"limited company";"limited liability partnership";"limited partnership"; or"limited liability limited partnership"; orany word or abbreviation of similar import to a term listed in Subsection (2)(b)(i).The name of an entity, other than a corporation formed in accordance with this title or a foreign entity authorized to transact business in this state may not contain:the term:"Corp.";"corporation";"Inc."; or"incorporated"; ora word or abbreviation of similar import to a term listed in Subsection (2)(c)(i).The name of a limited partnership may contain the name of a partner.The name of a limited partnership that is not a limited liability limited partnership:shall contain:the phrase "limited partnership"; orthe abbreviation "L.P." or "LP"; andmay not contain:the phrase "limited liability limited partnership" or "registered limited liability limited partnership"; orthe abbreviation "L.L.L.P.," "LLLP," "R.L.L.L.P.," or "RLLLP."The name of a limited partnership that is a limited liability limited partnership:shall contain:the phrase "limited liability limited partnership"; orthe abbreviation "L.L.L.P.," "LLLP," "R.L.L.L.P.," or "RLLLP"; andmay not contain the abbreviation "L.P." or "LP."The name of a limited partnership or a limited liability limited partnership or the name of a foreign limited partnership or a foreign limited liability limited partnership that registers to do business in this state may not contain:the term:"association";"corporation";"decentralized autonomous organization";"incorporated";"limited liability company"; or"limited company"; ora word or abbreviation that is of similar import to a term listed in Subsection (3)(d)(i).The name of an entity other than a limited partnership or a limited liability limited partnership or the name of a foreign limited partnership or a foreign limited liability partnership that registers to do business in this state may not contain:the term:"limited partnership";"LP";"L.P.";"limited liability partnership";"LLLP"; or"L.L.L.P."; ora word or abbreviation that is of similar import to a term listed in Subsection (3)(e)(i).The name of a limited liability partnership shall contain:the phrase "limited liability partnership" or "registered limited liability partnership"; orthe abbreviation "L.L.P.," "R.L.L.P.," "LLP," or "RLLP."The name of a limited liability partnership or a foreign limited liability partnership may not contain:the term:"association";"corporation";"decentralized autonomous organization";"incorporated";"limited liability company";"limited company";"limited partnership"; or"Ltd."; ora word or abbreviation that is of similar import to a term listed in Subsection (4)(b)(i).The name of an entity other than a limited liability partnership or the name of a foreign limited liability partnership that registers to do business in this state may not contain:the term:"limited liability partnership";"LLP"; or"L.L.P."; ora word or abbreviation that is of similar import to Subsection (4)(c)(i).The name of a limited liability company shall contain:the phrase "limited liability company" or "limited company"; orthe abbreviation "L.L.C.," "LLC," "L.C.," or "LC."A limited liability company's name may abbreviate the term:"limited" as "Ltd."; and"company" as "Co."The name of a limited liability company or a foreign limited liability company may not contain:the term:"association";"corporation";"decentralized autonomous organization";"incorporated";"partnership";"limited partnership"; or"L.P."; ora word or abbreviation that is of similar import to a term listed in Subsection (5)(c)(i).The name of an entity other than a limited liability company or the name of a foreign limited liability company authorized to do business in this state may not contain:the term:"limited liability company";"limited company";"L.L.C.";"L.C.";"LLC"; or"LC"; ora word or abbreviation that is of similar import to a term listed in Subsection (5)(d)(i).The name of a limited cooperative association shall contain:the phrase "limited cooperative association" or "limited cooperative"; orthe abbreviation "L.C.A." or "LCA."A limited cooperative association's name may abbreviate the term:"association" as:"Assn";"Assn.";"Assoc"; or"Assoc.";"cooperative" as:"Co-op.";"Coop."; or"Co-op"; and"limited" as "Ltd."The name of entity other than a limited cooperative association may not contain:the term:"limited cooperative association";"L.C.A."; or"LCA"; ora word or abbreviation that is of similar import to a term listed in Subsection (6)(c)(i).The name of a professional corporation as set forth in the professional corporation's articles of incorporation:shall contain the terms:"professional corporation"; or"P.C.";may not contain the words:"incorporated"; or"Inc."; andmay not contain language stating or implying that the professional corporation is organized for a purpose other than that permitted by Section 16-11-6 and the professional corporation's articles of incorporation.A person, other than a professional corporation formed or registered in accordance with this title, may not use in the person's name in this state the term:"professional corporation"; or"P.C."The name of a benefit limited liability company may contain:the term:"benefit limited liability company"; or"benefit limited company"; orthe abbreviation:"B.L.L.C.";"BLLC";"B.L.C."; or"BLC."When contained in the name of a benefit limited liability company, the term:"limited" may be abbreviated as "Ltd."; and"company" may be abbreviated as "Co."The name of a limited liability decentralized autonomous organization shall contain:the term:"limited liability decentralized autonomous organization"; or"limited decentralized autonomous organization"; orthe abbreviation:"L.L.D.";"LLD";"L.D."; or"LD."In the name of a decentralized autonomous organization:"limited" may be abbreviated as "Ltd."; and"decentralized autonomous organization" may be abbreviated as "DAO."The name of a decentralized autonomous organization may not contain:the term:"association";"corporation";"incorporated";"partnership";"limited liability company";"limited partnership"; or"L.P."; ora word or abbreviation that is of similar import to the terms listed in Subsection (9)(c)(i).A person, other than a decentralized autonomous organization formed or registered in accordance with this title, may not use in the person's name in this state:the term:"limited liability decentralized autonomous organization"; or"limited decentralized autonomous organization"; orthe abbreviation:"L.L.DAO";"L.L.D.";"L.DAO"; or"L.D."The words, "business trust" shall be the last words of the name of every business trust registered under Chapter 15, Utah Business Trust Registration Act.A person that participates in the omission of the words "business trust" in the commercial use of the name of the business trust, or knowingly acquiesces in the omission is liable for any indebtedness, damage, or liability resulting from the omission.

Enacted by Chapter 93, 2026 General Session2026Reservation of name.A person may reserve the exclusive use of an entity name by delivering an application to the division for filing that states:the name and address of the applicant; andthe name to reserve.If the division determines that the entity name stated in the application described in Subsection (1) is available, the division shall reserve the name for the applicant's exclusive use for 120 calendar days after the day on which the division reserves the name.A person that reserves a name in accordance with this section may transfer the reserved name to another person by delivering to the division a signed notice in a record of the transfer that states the name and address of the transferee.

Enacted by Chapter 93, 2026 General Session2026Registration of name.A foreign filing entity not registered to do business in this state may register the foreign filing entity's name, or an alternate name adopted in accordance with Section 16-1a-507, if the name complies with Section 16-1a-302.To register a name or an alternate name adopted in accordance with Section 16-1a-507, a foreign filing entity shall deliver to the division for filing an application that states:the foreign filing entity's requested name;the jurisdiction and date of the foreign filing entity's formation; andany alternate name adopted in accordance with Section 16-1a-507.If the division finds that the name requested in Subsection (2) is available, the division shall register the name for the applicant's exclusive use.The registration of a name under this section is effective for one year after the day on which the division registers the name as described in Subsection (3).A foreign filing entity whose name registration is effective may renew the registration for a successive one-year period by delivering, not earlier than three months before the day on which the registration expires, to the division for filing a renewal application that complies with this section.A renewal application renews the name's registration for one calendar year after the day on which the division files the renewal application described in this Subsection (5).A foreign filing entity whose name registration is effective may register as a foreign filing entity under the registered name or consent in a signed record to the use of the registered name by another entity.
