7     LONG TITLE
8     General Description:
9          This joint resolution addresses issues related to the Utah Athletic Foundation, also
10     known as the Utah Olympic Legacy Foundation.
11     Highlighted Provisions:
12          This resolution:
13          ▸     supports the Foundation's role in taking on operating responsibilities of the Soldier
14     Hollow Nordic Center;
15          ▸     supports the desire of the Foundation to add representation to its board of directors
16     of a resident of Wasatch County with knowledge and interest in the Soldier Hollow
17     Nordic Center;
18          ▸     supports the intent of the Foundation to implement its nonprofit mission equally
19     amongst the post-2002 Utah Winter Olympic venues of the Utah Olympic Oval,
20     Utah Olympic Park, and Soldier Hollow Nordic Center;
21          ▸     requires the Foundation to provide the Legislature amended governing documents;
22          ▸     addresses the effect of this resolution on prior resolutions; and
23          ▸     provides for the distribution of the resolution.
24     Special Clauses:
25          None

27     Be it resolved by the Legislature of the state of Utah:

28          WHEREAS, as used in this resolution:
29          (1) "Foundation" means the Utah Athletic Foundation;
30          (2) "Soldier Hollow Nordic Center" means certain real property and improvements on
31     the real property within a portion of the state's Wasatch State Park, including cross-country
32     skiing trails, a biathlon range, the Courtland C. Nelson Lodge, and associated facilities; and
33          (3) "Winter Sports Park" means the Foundation's winter sports park and access road
34     from State Highway 224 located in Summit County, Utah, consisting of certain real property
35     and all improvements on the real property, including three separate venues, a nordic ski jump
36     complex, a freestyle aerial jump and pool complex, and a bobsled and luge track together with
37     associated facilities and all rights-of-way and other rights of ingress and egress that the
38     Foundation owns;
39          WHEREAS, the Salt Lake Organizing Committee of the Olympic Winter Games of
40     2002 successfully hosted the Olympic Winter Games of 2002;
41          WHEREAS, the state contributed in significant ways to the success of the Olympic
42     Winter Games of 2002, including building winter sports facilities used in hosting the Olympic
43     Winter Games of 2002;
44          WHEREAS, because of the success of the Olympic Winter Games of 2002, the
45     Foundation received over $70,000,000 from the revenues of the Olympic Winter Games of
46     2002;
47          WHEREAS, 1994 General Session S.J.R. 17 and subsequent joint resolutions of the
48     Legislature govern the sale of the Winter Sports Park and payment of a legacy fund to the
49     Foundation by the Salt Lake Organizing Committee for the operation and maintenance of
50     certain Olympic venues operated by the Foundation;
51          WHEREAS, 1994 General Session S.J.R. 17 and subsequent joint resolutions of the
52     Legislature address various aspects of the structure and governance of the Foundation;
53          WHEREAS, the citizens of Utah have an interest in the long-term financial and
54     operational success of the Foundation because of the importance of winter sports to the state
55     and because of the reversionary interest the state has in the Winter Sports Park under specified
56     circumstances;
57          WHEREAS, the Soldier Hollow Nordic Center, which was a venue during the Olympic
58     Winter Games of 2002, remains an important venue in this state for winter sports;

59          WHEREAS, the name "Soldier Hollow" has historical significance;
60          WHEREAS, the Soldier Hollow Nordic Center has been operated by the Soldier
61     Hollow Legacy Foundation since 2000, but currently the Division of Parks and Recreation is
62     working with all parties to transfer operating responsibilities to the Foundation; and
63          WHEREAS, changing the purposes of the Foundation, including providing support to
64     the Soldier Hollow Nordic Center and equalizing the focus of the Foundation, requires
65     approval of the Legislature:
66          NOW, THEREFORE, BE IT RESOLVED that, should efforts be completed between
67     the state and the Foundation to transfer operation of the Soldier Hollow Nordic Center to the
68     Foundation, the Legislature of the state of Utah authorizes the Foundation to amend its articles
69     of incorporation and bylaws by no later than August 1, 2016, to do the following:
70          (1) add to the Foundation's purposes, language providing that the Foundation will
71     operate and jointly maintain with the state the Soldier Hollow Nordic Center;
72          (2) add to the Foundation's purposes, language providing that the Foundation will
73     support, equally, efforts and action steps within its owned or long-term leased venues to
74     accomplish the Foundation's core missions and long-term goals;
75          (3) modify the membership of the board of directors to add a member as follows: "one
76     member residing in Wasatch County who is familiar with the needs and interests of the Soldier
77     Hollow Nordic Center"; and
78          (4) add the intention of the Foundation to ensure that the phrase "Soldier Hollow"
79     remains a part of the Soldier Hollow Nordic Center's facility official name.
80          BE IT FURTHER RESOLVED that the Foundation provide a copy of amended articles
81     of incorporation and bylaws adopted by the board of directors that conform to this joint
82     resolution to the Legislature through the Office of Legislative Research and General Counsel.
83          BE IT FURTHER RESOLVED that 1994 General Session S.J.R. 17 and subsequent
84     resolutions relating to the Winter Sports Park and the Foundation remain in full force and
85     effect except to the extent that they are expressly superseded by this joint resolution.
86          BE IT FURTHER RESOLVED that a copy of this resolution be sent to the Foundation.
