Mr. Speaker:

    The Business, Labor, and Economic Development Committee reports a favorable recommendation on S.B. 170, UTAH REVISED LIMITED LIABILITY COMPANY ACT, by Senator J. Valentine, with the following amendments:

1.    Page 24, Line 721:        After "member" delete "of" and insert "or"

2.    Page 49, Lines 1506-1509:    Delete lines 1506-1509 and insert:
            "(2) Where the provisions of an operating agreement conflict with the provisions of this chapter, the provisions of this chapter shall control. Where the provisions of an operating agreement conflict with the articles of organization, the articles of organization shall control except to the extent the articles of organization conflict with the provisions of this chapter."

3.    Page 69, Line 2125:        After "company. The" insert "judgment creditor and"
