             8      LONG TITLE
             9      General Description:
             10          This bill makes modifications to the executive committee for the Utah Communications
             11      Agency Network.
             12      Highlighted Provisions:
             13          This bill:
             14          .    increases the number of members on the executive committee from 15 members to
             15      17 members;
             16          .    increases the number of executive committee members that are elected by the board
             17      at its annual meeting from ten members to 12 members;
             18          .    requires that:
             19              .    one of the new committee positions has an initial term of two years, with four
             20      year terms thereafter; and
             21              .    the other new committee position has a four year term from its inception;
             22          .    raises the attendance requirement for a quorum from nine persons to ten persons;
             23      and
             24          .    makes technical changes.

             33      Be it enacted by the Legislature of the state of Utah:
             34          Section 1. Section 63C-7-205 is amended to read:
             35           63C-7-205. Executive committee established -- Terms -- Vacancies.
             36          (1) The executive committee shall consist of the following [15] 17 individuals:
             37          (a) [ten] 12 member representatives elected by the board at its annual meetings; and
             38          (b) five state representatives.
             39          (2) (a) (i) Four of the state representatives shall be appointed by the governor, with two
             40      [appointed initially for] of the positions having an initial term of two years and two [for]
             41      having an initial term of four years.
             42          (ii) Successor state representatives shall each serve for a term of four years.
             43          (b) The fifth state representative shall be the Utah State Treasurer, who shall serve ex
             44      officio, or his designee.
             45          (c) A vacancy on the executive committee for a state representative shall be filled for
             46      the unexpired term by appointment by the governor.
             47          [(3) (a) Five of the initial member representatives of the executive committee elected
             48      by the board shall serve for two years and five shall serve for four years.]
             49          (3) (a) (i) One-half of the positions for member representatives elected by the board
             50      shall have an initial term of two years and one-half of the positions shall have an initial term of
             51      four years.
             52          (ii) Successor member representatives of the executive committee shall each serve for a
             53      term of four years, so that the term of office [of five] for six of the member representatives
             54      expires every two years.
             55          (b) The member representatives of the executive committee shall be removable, with or
             56      without cause, by a majority vote of the board. A vacancy on the executive committee for a
             57      member representative shall be filled for the unexpired term by a majority of the remaining
             58      member representatives of the executive committee.


             59          (4) The executive committee shall elect annually one of its members as chair.
             60          (5) The executive committee shall meet on an as-needed basis and as provided in the
             61      bylaws.
             62          (6) The executive committee shall also elect a vice chair, secretary, and treasurer to
             63      perform those functions provided in the bylaws.
             64          (a) The vice chair shall be a member of the executive committee.
             65          (b) The secretary and treasurer need not be members of the executive committee, but
             66      shall not have voting powers if they are not members of the executive committee.
             67          (c) The offices of chair, vice chair, secretary, and treasurer shall be held by separate
             68      individuals.
             69          (7) Each member representative and state representative shall have one vote, including
             70      the chair, at all meetings of the executive committee.
             71          (8) [Nine] Ten members of the executive committee constitute a quorum. A vote of a
             72      majority of the quorum at any meeting of the executive committee is necessary to take action
             73      on behalf of the executive committee.
